On Monday, August 15, 2011, it was announced that OPENLANE, Inc. has entered into a definitive agreement with ADESA, Inc., a subsidiary of KAR Auction Services, Inc. for the acquisition of all of the outstanding equity interests in OPENLANE for $210 million in cash, plus an increase in the purchase price for excess cash on OPENLANE's balance sheet at closing. The acquisition is subject to many conditions to closing, including regulatory approval. On September 9, 2011, OPENLANE mailed a definitive proxy statement with details about the transaction to the stockholders and on September 20, 2011, OPENLANE filed certain supplemental disclosures with the SEC and promptly mailed those supplemental disclosures to the stockholders.
